Viori Wholesale Program – Terms of Agreement

By applying to join the Viori Professional Wholesale Program, I agree to the following terms:

1. Authorization & Sales

• I am authorized to sell Viori products only in the United States to end-user consumers—not to resellers.
• I will sell products only through my physical location of business listed in my application form or authorized online platforms approved by written consent from Viori.
• I will not sell products on any third-party marketplaces (e.g., Amazon, eBay, Any Social Media Market Places, Faire, etc.) without written approval from Viori.
• I will not use any form of pay-per-click marketing to sell Viori product (e.g. Facebook ads, Google ads, etc.)

2. Product Orders

• I will purchase products directly from Viori.
• I understand that Viori may reject or limit orders at its discretion.
• I will follow Viori’s current sales and return policies.

3. Business Operations

• I will operate my business in an ethical and legal manner.
• I will accurately represent Viori products and avoid misleading claims.
• I will follow Viori’s advertising and branding guidelines.

4. Product Handling & Quality Control

• I will store products in a cool, dry place below 72°F, away from sunlight.
• I will inspect all shipments for damage or defects before selling.
• I will sell products only in their original packaging—no repackaging, altering, or selling opened items.
• I will report any product defects or customer complaints to Viori immediately.
• I agree to maintain Viori’s products in a clean and presentable condition at all times.

5. Intellectual Property

• I understand Viori owns all logos, trademarks, and branding rights.
• I will only use Viori’s approved logos and materials for marketing.
• I will not create or register domain names, social handles, or branding resembling Viori trademarks.
• I understand Viori may review and approve or reject how I use its branding.

6. Confidentiality

• I will keep any business information shared by Viori confidential, even after this agreement ends.

7. Non-Competition

• I will not sell or develop competing products during this agreement or for one year after termination. (Excludes states where restrictions are prohibited by law.)

8. Termination

• I understand this agreement can be terminated by either party with 30 days’ notice or immediately in case of a breach.
• Upon termination:
  • I will stop selling Viori products immediately.
  • I will pay all outstanding invoices.
  • I will stop using Viori branding and trademarks.

9. Legal Compliance

• I will comply with all local, state, and federal laws related to my business operations.
• I agree that disputes will be resolved under Utah law in Utah County courts.

10. Liability & Warranty

• I understand Viori is not liable for indirect damages, lost profits, or legal fees.
• I understand Viori’s liability is limited to the amount I paid for products in the past 6 months.
• I acknowledge that Viori makes no warranties, expressed or implied, about its products.

11. Agreement Updates

• I understand Viori may update this agreement at any time and that my continued participation means I accept any changes.

Acknowledgment

By submitting my Viori Professional Wholesaler Application, I confirm that:

• I have read and agree to these terms.
• I understand my responsibilities as a Viori wholesale partner.
• I will maintain high standards for product handling and customer service.
